1Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("you," "your," or "User") and Wolfie ("Wolfie," "we," "us," or "our") governing your access to and use of the Wolfie website, waitlist, software, applications, and related services (collectively, the "Service"). By accessing or using any part of the Service — including by submitting your email to the waitlist — you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated by reference.
If you do not agree to these Terms, you must not access or use the Service.
2Eligibility
You must be at least 18 years of age and capable of forming a binding contract to use the Service. The Service is currently intended for residents of the United States. Autonomous trading functionality depends on third-party brokerage services that may impose their own eligibility requirements, including but not limited to residency, accreditation, account standing, and identity verification. You represent and warrant that:
- You are at least 18 years old and of legal age to enter into this agreement in your jurisdiction;
- You have the legal capacity and authority to agree to these Terms;
- You are not barred from receiving the Service under the laws of the United States or any other applicable jurisdiction;
- Your use of the Service will comply with all applicable laws, regulations, and the rules of any relevant brokerage, exchange, or self-regulatory organization.
3Description of the Service
Wolfie is a software platform that enables users to design, deploy, and monitor autonomous AI trading agents ("Agents" or "bots"). When connected to a compatible brokerage account through that brokerage's official interface, Agents may analyze market data and place trade orders on the user's behalf according to user-defined strategies. The Service may include capabilities such as strategy definition, multi-agent deployment, backtesting against historical data, real-time monitoring of news and market data, and transparent display of an Agent's reasoning.
The Service is currently in private beta and pre-launch. Features described on our website or in marketing materials are under active development, may not yet be available, and are subject to change, delay, or cancellation without notice. Nothing on our website constitutes a guarantee that any particular feature will be released or will function as described.
4Waitlist & Beta Access
By joining the waitlist, you request to be notified about and potentially granted access to the Service. Joining the waitlist does not guarantee access, a particular access date, particular pricing, or any specific features. We may grant, deny, prioritize, condition, or revoke access at our sole discretion. Beta access may be provided "as is," may be unstable, and may be modified or discontinued at any time.
5No Investment, Financial, Legal, or Tax Advice
All strategies, parameters, and decisions are defined, configured, and authorized by you. Any Agent action taken on your behalf reflects your own instructions and configuration. You are solely responsible for evaluating the merits and risks of any trade or strategy, and you should consult a qualified, licensed professional before making investment decisions. Information provided through the Service — including market data, news aggregation, signals, backtests, and an Agent's stated reasoning — is for informational purposes only and may be incomplete, delayed, or inaccurate.
6Relationship with Robinhood
To the extent the Service interoperates with Robinhood, it does so solely through Robinhood's publicly documented Agentic Trading interface (its Model Context Protocol, or "MCP," servers) and acts only on behalf of, and as authorized by, the authenticated account holder. Your use of any Robinhood account is governed by your separate agreement with Robinhood. Robinhood may modify, restrict, suspend, or terminate its agentic interface or your access to it at any time, which may impair or disable Wolfie functionality without liability to us. Robinhood's agentic trading is, at the time of writing, offered in beta and limited to certain asset classes and jurisdictions; available functionality is determined by Robinhood, not by Wolfie.
7Autonomous Trading Risk
You expressly acknowledge and accept the following risks, among others:
- Model error. AI Agents may misinterpret data, act on incomplete or stale information, "hallucinate," or behave in unexpected, unintended, or erroneous ways.
- Speed and scale. Because Agents act autonomously and may execute rapidly, errors can compound or generate losses faster than a human could intervene.
- Market risk. Prices are volatile. Past performance and backtested or simulated results do not guarantee and are not indicative of future results. Backtests are hypothetical, benefit from hindsight, and do not reflect actual trading.
- Data and connectivity risk. Market data, news feeds, and connectivity may be delayed, interrupted, or inaccurate, causing Agents to act on faulty inputs or fail to act.
- Third-party dependency. The Service depends on third parties (including brokerages, data providers, and AI model providers) whose outages, changes, or errors may disrupt the Service.
- No guaranteed outcomes. We do not guarantee any level of performance, profit, accuracy, or that any Agent will achieve its stated objective.
You are responsible for monitoring your Agents and account activity and for using available controls — including funding limits, sandboxed accounts, and the ability to disconnect or disable an Agent. You trade at your own risk.
8Accounts & Authentication
You may be required to create an account and to authorize a connection to a third-party brokerage. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use. We are not liable for any loss arising from your failure to safeguard your credentials. We never ask for, and you should never share, your brokerage password directly with us; authorization occurs through the brokerage's own authentication flow.
9Your Responsibilities
- You are solely responsible for the strategies, parameters, datasets, and instructions you configure.
- You are responsible for funding decisions and for any capital you allocate to an Agent.
- You are responsible for monitoring Agent activity and intervening or disconnecting as needed.
- You are responsible for complying with all applicable laws, tax obligations, and the terms of any connected third-party service.
- You are responsible for determining whether any strategy is suitable for you.
10Acceptable Use
You agree not to use the Service to: (a) violate any law or regulation, including securities laws; (b) engage in market manipulation, spoofing, layering, front-running, or any deceptive or fraudulent trading practice; (c) infringe the rights of others; (d) reverse engineer, decompile, or attempt to extract source code except as permitted by law; (e) circumvent rate limits, security, or access controls; (f) introduce malware or disrupt the Service; (g) use the Service on behalf of any third party without authorization; or (h) misrepresent your identity or affiliation. Violations may result in immediate suspension or termination and may be reported to relevant authorities.
11Fees & Billing
Certain features of the Service may require payment of fees. Applicable fees, billing frequency, and payment terms will be disclosed to you before you incur a charge. Unless otherwise stated: fees are quoted in U.S. dollars; you authorize us and our payment processors to charge your designated payment method; fees are non-refundable except where required by law; and we may change fees prospectively upon notice. You are responsible for any taxes associated with your use of the Service other than taxes on our net income. Failure to pay may result in suspension or termination of access.
12Intellectual Property
The Service, including all software, text, graphics, logos, the Wolfie name and marks, and the look and feel, is owned by Wolfie or its licensors and is protected by intellectual property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, lawful use. You retain ownership of the strategies, configurations, and datasets you create; you grant us a limited license to process them solely to operate and improve the Service consistent with our Privacy Policy. All rights not expressly granted are reserved.
13Data & Local-First Architecture
Wolfie is designed to be local-first. As described more fully in our Privacy Policy, we aim to keep your personal trading data, strategies, positions, and account data on your own device, and to exchange trading instructions directly between the application and your connected brokerage. We intend to store in our cloud only what is necessary to operate the business, such as billing information. We do not guarantee that any particular architecture will prevent all data loss or unauthorized access, and you are responsible for maintaining backups of any data stored locally on your device.
14Third-Party Services
The Service relies on and may link to third-party services, including brokerages, AI model providers, data and news providers, and payment processors. We do not control and are not responsible for third-party services, their availability, their terms, or their acts or omissions. Your use of third-party services is governed by their respective terms and policies. Disruption, modification, or termination of a third-party service may impair the Service.
15Disclaimers of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR ACCURATE, OR THAT ANY AGENT WILL ACHIEVE ANY PARTICULAR RESULT OR PROFIT. NO ADVICE OR INFORMATION OBTAINED FROM THE SERVICE CREATES ANY WARRANTY NOT EXPRESSLY STATED HEREIN.
16Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL WOLFIE OR ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR TRADING LOSSES, ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS, WHETHER BASED ON WARRANTY, CONTRACT, TORT, STATUTE, OR ANY OTHER LEGAL THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100). WE ARE NOT LIABLE FOR ANY TRADING LOSSES OR FOR DECISIONS MADE OR ACTIONS TAKEN BY AN AGENT. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
17Indemnification
You agree to indemnify, defend, and hold harmless Wolfie and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with: (a) your use of the Service; (b) your strategies, configurations, or instructions; (c) your trading activity or that of your Agents; (d) your violation of these Terms or any law; or (e) your violation of any third-party right, including any brokerage agreement.
18Dispute Resolution & Binding Arbitration
Except where prohibited by law, you and Wolfie agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service will be resolved by binding individual arbitration administered under the rules of a recognized arbitration provider, rather than in court, except that either party may bring an individual claim in small-claims court. You and Wolfie waive the right to a trial by jury and the right to participate in a class, collective, or representative action. The arbitration will take place in the United States, and these Terms will be governed by the Federal Arbitration Act and applicable U.S. law. You may opt out of this arbitration agreement by sending written notice to the contact below within 30 days of first accepting these Terms.
19Termination
We may suspend or terminate your access to the Service at any time, with or without cause and with or without notice, including if we believe you have violated these Terms. You may stop using the Service at any time. Upon termination, the rights granted to you will cease, but any provisions that by their nature should survive — including disclaimers, limitations of liability, indemnification, and dispute resolution — will survive.
20Changes to These Terms
We may modify these Terms from time to time. If we make material changes, we will update the "Last updated" date and may provide additional notice. Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms. If you do not agree, you must stop using the Service.
21General Provisions
Entire agreement. These Terms and the Privacy Policy constitute the entire agreement between you and Wolfie regarding the Service. Severability. If any provision is found unenforceable, the remaining provisions remain in effect. No waiver. Our failure to enforce a provision is not a waiver. Assignment. You may not assign these Terms without our consent; we may assign them freely. Governing law. These Terms are governed by the laws of the United States and the state in which Wolfie is organized, without regard to conflict-of-laws rules. Force majeure. We are not liable for failures caused by events beyond our reasonable control.
